These Terms of Service ("Terms") govern access to and use of ClientManager and our other software-as-a-service products (the "Services"), provided by REYESCO, LLC, a Virginia limited liability company ("REYESCO," "we," "us," "our"). By creating an account or using the Services, you agree to these Terms on behalf of yourself and the organization you represent ("you," "your").
The Services provide business management tools - including client, project, estimating, and service request tracking - delivered as a hosted, subscription-based application.
You are responsible for maintaining the confidentiality of login credentials issued to users in your organization and for all activity under those accounts. Notify us promptly of any unauthorized use.
We may make demo, trial, or evaluation environments available at no charge. Data entered into a demo or trial environment will not be migrated, copied, or carried over to a paid/production account if you later subscribe. Demo environments are provided "as is," may be reset or removed at any time without notice, and are not covered by any service-level commitment.
You retain ownership of the business data you and your organization enter into the Services ("Your Data"). We do not claim ownership of Your Data. You are responsible for the accuracy, legality, and permissions associated with Your Data. Upon request, you may export Your Data or request its deletion, subject to our Privacy Policy.
You may use the Services only for your organization's internal business purposes. You agree not to:
The Services, including all software, designs, screens, workflows, text, graphics, documentation, and the ClientManager and REYESCO names and logos, are owned by REYESCO and protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable right to use the Services under these Terms. No other rights are granted, and all rights not expressly granted are reserved.
If you or anyone in your organization sends us suggestions, ideas, feature requests, or other feedback about the Services ("Feedback"), we may use it for any purpose, including incorporating it into the Services, without restriction, compensation, or attribution to you. Feedback does not include Your Data.
We strive to keep the Services available and performant, but the Services are provided "as is" and "as available," without warranties of uninterrupted or error-free operation, except as expressly stated in a separate written agreement with you.
To the maximum extent permitted by law, REYESCO will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the amount you paid us in the twelve (12) months preceding the claim.
You may stop using the Services and cancel your subscription at any time. We may suspend or terminate access to the Services for non-payment, violation of these Terms, or misuse of the Services. Because a violation of Section 6 or Section 7 may cause harm that money damages cannot adequately remedy, we may also seek injunctive or other equitable relief in addition to any other remedies available to us.
We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of those courts.
